1. Acceptance of Terms

Welcome to ShopVid AI ("ShopVid AI", "we", "us", or "our"). We are a company incorporated under the laws of the United States. These Terms of Service ("Terms") govern your access to and use of our AI-powered video generation service, including product video creation, AI script generation, digital avatars, text-to-speech, and lip sync technology, available at https://shopvid.ai (the "Service").

By creating an account, subscribing to any plan, purchasing credits, or otherwise using the Service, you confirm that you: (a) are at least 18 years of age; (b) have read, understood, and agree to be bound by these Terms; (c) agree to our Privacy Policy; and (d) are authorized to enter into this agreement on behalf of yourself or any organization you represent.

⚠️ Important: If you do not agree to these Terms, you may not use the Service. Continued use after any update constitutes acceptance of the revised Terms.

2. Description of Service

ShopVid AI provides an AI-powered e-commerce video generation platform. We generate videos using artificial intelligence, including script generation, text-to-speech, avatar synchronization, and lip sync technology.

Service Nature: This Service is a digital intangible product. Service access is enabled immediately after payment confirmation. Due to the immediate delivery nature of digital services, refunds are subject to specific limitations as detailed in Section 7.

AI Model Reliance: This Service uses third-party AI model providers, including MiniMax (for text, image, and video generation) and other mainstream AI providers such as Flux, Kling, and OpenAI. The performance and availability of this Service may be affected by these providers' operational status. We will promptly notify users of significant interruptions.

3. Account Registration

3.1 Account Creation: Creating an account requires accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.

3.2 Account Security:

  • Immediately contact security@shopvid.ai if you discover unauthorized use.
  • Do not share login credentials with any third party.
  • Ensure your billing email address remains valid.

3.3 Enterprise Accounts: If registering on behalf of a company or organization, you declare that you are authorized to enter into this agreement for that entity.

4. Subscription Plans

We offer subscription plans to access this Service, including monthly and annual subscription plans. For current plan details and pricing, please visit /pricing.

We reserve the right to modify plan features or launch new plans at any time. Price changes are governed by Section 5.1.

5. Billing and Payment

5.1 Automatic Renewal Authorization: When you provide a payment method and subscribe to a paid plan, you explicitly authorize ShopVid AI to periodically charge your payment method for the corresponding subscription fees. This periodic authorization remains effective until you cancel your subscription per Section 6.

Your subscription renews automatically at the end of each billing period unless canceled. For annual subscriptions, we will send a reminder before renewal.

5.2 Taxes: Unless otherwise stated, listed prices do not include applicable taxes (including VAT, GST, sales tax, etc.). Where required by applicable law, we will collect and remit such taxes on your behalf.

5.3 Payment Processors: Payments are currently processed by Waffo Pancake, our payment processor and Merchant of Record, with Creem retained as a backup processor. Your payment statement will show "Waffo" or "Creem" as the merchant name, depending on which processor handled your transaction. Payment card data is exclusively processed by our PCI-DSS compliant payment processor and is not stored on our servers.

6. Cancellation Policy

6.1 How to Cancel: You may cancel your subscription at any time through:

  • Online (Recommended): Account Settings → Subscription → Cancel Subscription
  • Email: Send a cancellation request from your registered email to cancel@shopvid.ai

Cancellation takes effect immediately. We will send a confirmation email within 10 minutes.

6.2 Effect of Cancellation:

  • Your subscription remains active until the end of the current billing period.
  • You will not be charged for subsequent billing periods.
  • Account data will be retained for 90 days after cancellation, then deleted per our Privacy Policy.

7. Refund Policy

7.1 General Policy: Due to the immediate delivery and intangible nature of our digital Service, subscription fees are generally non-refundable, except in the following circumstances.

7.2 Refundable Circumstances:

  • 14-Day Money-Back Guarantee: First-time subscribers may request a full refund within 14 days of first charge, provided usage has not exceeded 50% of the plan quota.
  • Duplicate Charges: Full refund for duplicate charges caused by billing errors.
  • Verified Service Interruption (exceeding 72 hours): Pro-rated refund or credit for prolonged interruptions caused by us.
  • Legal Rights: Where applicable law grants revocation or refund rights (such as the EU/UK 14-day cooling-off period), such rights are preserved.

7.3 How to Request a Refund: Send refund requests to refunds@shopvid.ai with your account email, transaction ID, and reason for the refund request. We will confirm within 2 business days and process eligible refunds within 5-10 business days.

7.4 Non-Refundable Items:

  • Fees for subscription periods already used (except in Section 7.2 circumstances).
  • Annual subscription refund requests made more than 30 days after initial purchase.
  • Accounts closed for violation of these Terms or Acceptable Use Policy.

8. Billing Disputes

If you believe a charge was made in error, please contact us at billing@shopvid.ai before initiating a dispute with your bank. We commit to responding within 2 business days and resolving confirmed billing errors within 5 business days.

9. AI Content and Intellectual Property

9.1 Output Content Ownership: Subject to compliance with these Terms, AI content generated from your inputs ("Output Content") belongs to you. You may use Output Content for any lawful purpose permitted under Section 10.

9.2 Input Content License: By submitting content to this Service ("Input Content"), you grant ShopVid AI a limited, non-exclusive license solely for the purpose of providing services to you. We will not use your Input Content for AI model training without your explicit consent.

9.3 Third-Party AI Model Reliance: This Service uses third-party AI model providers, including MiniMax (MiniMax-M3 for text, image-01 for images, MiniMax-Hailuo-2.3 for video), accessed via the official MiniMax API (api.minimax.cn), as well as Flux, Kling, and OpenAI. Output content may be affected by these providers' models. We do not guarantee specific output quality and are not liable for content generated by third-party models.

9.4 AI Output Accuracy: AI-generated content may contain errors or inaccuracies. It is your responsibility to review and verify output content before relying on it.

10. Acceptable Use Policy

The full Acceptable Use Policy — including the six prohibited content categories, our content moderation mechanism, reporting channels, response timelines, violation handling, and the appeal process — is published at /aup and is incorporated into these Terms by reference.

10.1 Permitted Uses: You may only use this Service for lawful purposes consistent with these Terms.

10.2 Prohibited Uses: You agree not to use this Service to:

  • Generate illegal, defamatory, harassing, or fraudulent content.
  • Generate, disseminate, or assist in creating deepfake content, including AI-synthesized audio, video, or images that impersonate real individuals or intend to mislead viewers about their source or authenticity.
  • Generate content involving the sexualization of minors or content that violates child protection laws.
  • Create malware, phishing content, or cyberattack tools.
  • Infringe on any third party's intellectual property or privacy rights.
  • Bypass or interfere with this Service's security features.
  • Resell or sublicense access without prior written approval.
  • Generate child sexual abuse material (CSAM) in any form.
  • Violate any applicable laws, regulations, or card association rules.

10.3 AI-Specific Prohibitions: In addition to the above general prohibitions, given the AI technology nature of this Service, you explicitly agree not to:

  • Use this Service's inputs, outputs, model responses, or any derivative data to train, fine-tune, benchmark, knowledge-distill, or otherwise develop any artificial intelligence or machine learning model that directly or indirectly competes with this Service or ShopVid AI products.
  • Massively or systematically scrape, extract, or collect model outputs for any purpose beyond your personal authorized use.
  • In contexts where harm could result, represent AI-generated content as the work of human professionals (such as practicing doctors, lawyers, or financial advisors).

11. Data, Privacy, and Security

Your use of this Service is subject to our Privacy Policy, published at /privacy. Payment card data is exclusively processed by our PCI-DSS compliant payment processor (Waffo Pancake, with Creem as backup) and is not stored on our servers. Account data is retained for 90 days after cancellation, then deleted.

12. Disclaimer and Limitation of Liability

12.1 Disclaimer: This Service is provided on an "as is" and "as available" basis without any express or implied warranties, including merchantability, fitness for a particular purpose, or AI output accuracy.

⚠️ AI Generated Content Disclaimer: This Service's AI outputs may be inaccurate, incomplete, or outdated. Do not use them for legal, medical, financial, or other professional advice. Always verify with qualified professionals before acting based on AI content.

12.2 Limitation of Liability: To the maximum extent permitted by applicable law, SHOPVID AI shall not be liable for any indirect, incidental, consequential, or punitive damages. Our total liability is limited to the amount you paid us in the 12 months preceding the claim event.

13. Term and Termination

These Terms remain effective during your use of the Service. We may suspend or terminate your account if you materially breach these Terms, are suspected of fraudulent activity, or are required by law. If we terminate the Service for reasons not attributable to your breach, you will receive a pro-rated refund for unused prepaid portions. You may delete your account at any time by contacting support@shopvid.ai.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United States. Before initiating formal proceedings, please contact legal@shopvid.ai to attempt informal resolution. Unresolved disputes shall be submitted to binding arbitration in the United States.

15. General Provisions

We may update these Terms at any time. Material changes will be notified at least 14 days before the effective date via email. Continued use constitutes acceptance of the updated Terms. If any provision is found invalid, the remaining provisions remain fully effective.
